Issues in Negotiating an Exclusive Patent LicenseMost agreements are forms, just fill in the blanks and they are ready to be signed. One agreement that most definitely is not a form is an exclusive patent license agreement. Every such agreement is unique, and every such agreement must be crafted to not only define clearly and unambiguously what each side has promised to do and not to do, but to provide for unintended and likely undesired contingencies. The purpose of this course is to discuss generally the issues that must be resolved in negotiating most exclusive licensing agreements. It is not exhaustive, because it cannot be. You must bring you own intelligence and creativity to each license and its negotiation. This course will give you a lot of the right questions to ask, and a number of possible answers as well. |
